AGBs (ENGLISH VERSION BELOW)
1. Geltungsbereich & Vertragsschluss 
Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für alle Angebote, Verträge, Dienstleistungen und Lieferungen von Simone Werger (nachfolgend „Stylistin“) im Rahmen von Styling-, Fashion- und Commercial-Aufträgen.
Abweichende, entgegenstehende oder ergänzende AGB des Auftraggebers werden selbst bei Kenntnis nicht Vertragsbestandteil, es sei denn, ihrer Geltung wird ausdrücklich schriftlich zugestimmt.
Angebote der Stylistin sind freibleibend und unverbindlich. Ein Vertrag kommt durch schriftliche Auftragsbestätigung (E-Mail ausreichend) oder durch den Beginn der Dienstleistungserbringung zustande. Mündliche oder telefonische Absprachen gelten mit Zugang einer schriftlichen Bestätigung per E-Mail als verbindlich vereinbart, sofern ihnen nicht unverzüglich schriftlich widersprochen wird.

2. Leistungsumfang, Dispo & Vorbereitungsaufwand
Der genaue Leistungsumfang (Anzahl der Models, Anzahl der Looks, Drehtage, Vorbereitung) ergibt sich aus dem jeweiligen Angebot der Stylistin.
Arbeitstag/Dispo: Ein Standard-Arbeitstag (Gagetag) wird im Angebot definiert (exklusive gesetzlicher Pausen). Wird der Stylistin im Vorfeld oder per Tagesdispositionsplan (Dispo) eine Arbeitszeit von mehr als diesen definierten Arbeitsstunden angesetzt, gilt jede darüber hinausgehende Stunde automatisch als Überstunde (Overtime) gemäß Abs. 3.
Overtime/Überstunden: Überstunden der Stylistin werden mit EUR 180,- netto pro Stunde berechnet. Die Abrechnung erfolgt im 15-Minuten-Takt. Überstunden der Styling-Assistenz werden mit EUR 30,- netto pro Stunde berechnet (Abrechnung im 15-Minuten-Takt).
Pausenregelung: Stehen am Shootingtag die vereinbarten oder gesetzlichen Pausen (z. B. 60 Minuten Mittags- oder Verpflegungspause) aufgrund von Verzögerungen, Zeitverzug am Set oder Kundenentscheidungen nicht oder nur verkürzt zur Verfügung, wird die entfallene Pausenzeit als Overtime gemäß Abs. 3 abgerechnet.
Nachträgliche Erhöhung der Anzahl der Looks: Die vereinbarte Gage basiert auf der im Angebot festgelegten Look-Anzahl pro Model. Entscheidet der Auftraggeber am Set oder kurzfristig vorab, die Anzahl der Looks pro Model zu erhöhen, entsteht ein Mehraufwand für Beschaffung, Aufbereitung, Fitting, Steaming und Nachbereitung. Hierfür wird eine zusätzliche Pauschale in Höhe von EUR 198,- netto pro Outfit verrechnet.
Unvorhergesehene Fitting-Tage: Wird ein Fitting-Tag erforderlich, der nicht im ursprünglichen Angebot enthalten war, wird dieser wie folgt berechnet:
Halbtag (bis zu 4 Stunden): EUR 520,- netto
Volltag (bis zu 8 Stunden): EUR 920,- netto 
Assistenz: Die Stylistin ist berechtigt, nach eigenem Ermessen (insbesondere ab einer Betreuung von 3 oder mehr Models) eine Styling-Assistenz hinzuziehen. Die Kosten betragen EUR 50,- netto für einen Halbtag bzw. EUR 100,- netto für einen Volltag, sofern im Angebot nicht anders vereinbart.

3. Reisekosten, Transport & Verpflegung
Fahrtkosten & Transportpauschale: Bringt die Stylistin Styling-Materialien oder Equipment mit dem eigenen PKW zum Set oder wechselt am Shooting-Tag das Set, wird eine Transportpauschale von EUR 65,- netto pro Tag verrechnet. Alle im Rahmen der Auftragserfüllung anfallenden Nebenkosten (z. B. Parkgebühren, Maut) trägt der Auftraggeber.
Reisetage (Travel Days): An- und Abreisen am Vor- oder Nachbereitschaftstag werden als Arbeitszeit verrechnet:
Half Travel Day (bis zu 4 Stunden): EUR 230,- netto
Full Travel Day (bis zu 8 Stunden): EUR 460,- netto
Bei Nutzung des eigenen PKW für Fernreisen werden zusätzlich EUR 0,42 netto pro Kilometer berechnet.
Versand- und Kurierkosten: Sämtliche Fracht-, Versand-, Porto- und Rückversandkosten für Styling-Items, Fundusware oder Bestellungen gehen vollständig zu Lasten des Auftraggebers.
Verpflegung (Catering): Während der Vorbereitungs-, Shooting- und Fitting-Tage ist der Auftraggeber verpflichtet, angemessene Verpflegung (Kaffee, Snacks, warmes Mittag- bzw. Abendessen) für die Stylistin und ihre Assistenz am Set bereitzustellen. Wird kein Catering zur Verfügung gestellt, werden die im angemessenen Rahmen tatsächlich angefallenen Verpflegungskosten dem Auftraggeber weiterverrechnet.

4. Beschädigung, Verlust & Reinigung von Styling-Goods
Warenschäden & Kaufverpflichtung: Werden Styling-Items (Eigentum der Stylistin, Fundusware, Leihgaben, Musterstücke oder zur Ansicht gekaufte Kleidung/Accessoires) während der Vorbereitung, Fittings, Dreharbeiten oder am Set beschädigt, verschmutzt (z. B. Make-up-, Deoflecken, Risse), entwendet oder beschädigt retourniert, sodass ein Laden-Rückgaberecht erlischt oder der Gegenstand unverkäuflich wird, stellt die Stylistin dem Auftraggeber den vollumfänglichen Wiederbeschaffungswert bzw. den Ladenverkaufspreis (Vollpreis) zzgl. ggf. angefallener Aufwände in Rechnung.
Reinigungskosten: Fällt nach dem Shooting durch Verschmutzung, Schweiß, Außeneinsätze etc. eine Reinigung von Styling Pieces aus dem Fundus oder Bestellungen an, werden die Rechnungsbeträge der professionellen Textilreinigung vollumfänglich vom Auftraggeber getragen.

5. Stornierung & Ausfall (Cancellation Policy)
Wird ein erteilter Auftrag durch den Auftraggeber storniert, verschoben oder abgesagt, werden folgende Ausfallhonorare (Prozentual bezogen auf das vereinbarte Gesamthonorar) fällig: Stornierung ab Auftragsvergabe bis 7 Tage vor Shootingbeginn: 30 % des vereinbarten Honorars / Stornierung ab 7 Tage bis 48 Stunden vor Shootingbeginn: 50 % des vereinbarten Honorars / Stornierung unter 48 Stunden vor Shootingbeginn / Nichterscheinen: 100 % des vereinbarten Honorars. Unabhängig vom Stornierungszeitpunkt sind alle bis zum Zeitpunkt der Stornierung bereits erbrachten Vorbereitungsleistungen (z. B. Pre-Pull, Moodboard-Erstellung, Sourcing), gebuchte Travel- oder Fitting-Tage, Auslagen, Stornogebühren Dritter sowie Versand- und Transportkosten vollumfänglich (100 %) vom Auftraggeber zu erstatten.

6. Krankheitsfall / Ersatzstellung
Sollte die Stylistin durch Krankheit oder unvorhersehbare höhere Gewalt am Shooting-Tag ausfallen, ist sie berechtigt, eine qualifizierte Styling-Assistenz bzw. Vertretung zu stellen, die das Styling vor Ort nach den Vorgaben der Stylistin durchführt.
In diesem Fall behält die Stylistin ihren vollen Honoraranspruch. Dem Auftraggeber entstehen durch die Bereitstellung dieser Ersatzperson keine zusätzlichen Personalkosten.

7. Urheberrecht, Credits & Namensnennung
Urheberschutz & Ghost-Styling-Verbot: Das von der Stylistin geschaffene Styling (Look-Kreation, Visuals) genießt urheberrechtlichen Schutz bzw. den Schutz als geistiges Eigentum. Die Arbeit der Stylistin darf unter keinen Umständen als das Werk Dritter ausgegeben werden (Verzicht auf Namensnennung / ausdrückliches Verbot von Ghost-Styling).
Credits / Urheberbezeichnung: Bei jeder Veröffentlichung, Vervielfältigung oder Verbreitung des Bild-/Videomaterials (in Print-Medien, Social Media, TV, Online, Magazinen u. ä.), bei der eine Urheber- oder Mitwirkenden-Nennung branchenüblich ist, ist die Stylistin namentlich zu nennen.
Nutzungsrechte: Soweit nicht anders vereinbart, erhält der Auftraggeber mit vollständiger Bezahlung der Vergütung das einfache Recht zur Nutzung des Stylings für den vereinbarten Werbezweck.

8. Anwendbares Recht & Gerichtsstand
Es gilt ausschließlich österreichisches Recht unter Ausschluss des UN-Kaufrechts.Als Gerichtsstand für alle Streitigkeiten aus oder im Zusammenhang mit diesem Vertragsverhältnis wird das für Wien sachlich zuständige Gericht vereinbart.

GENERAL TERMS AND CONDITIONS (GTC)

1. Scope of Application & Conclusion of Contract
These General Terms and Conditions (GTC) apply to all offers, contracts, services, and deliveries by Simone Werger (hereinafter referred to as the "Stylist") in the context of styling, fashion, and commercial assignments. Deviating, conflicting, or supplementary terms and conditions of the client shall not become part of the contract, even if known, unless their application is expressly agreed to in writing. Offers made by the Stylist are subject to change and non-binding. A contract is concluded upon written order confirmation (email is sufficient) or upon commencement of the provision of services. Verbal or telephone agreements are considered bindingly agreed upon receipt of a written confirmation via email, provided they are not immediately contradicted in writing.

2. Scope of Services, Call Sheet & Preparation
Effort The exact scope of services (number of models, number of looks, shooting days, preparation) is specified in the respective offer of the Stylist.
Working Day/Call Sheet: A standard working day (fee day) is defined in the offer (excluding statutory breaks). If the Stylist is scheduled in advance or via the daily call sheet for working hours exceeding these defined hours, every additional hour automatically counts as overtime in accordance with paragraph 3.
Overtime: Overtime for the Stylist is charged at EUR 180.00 net per hour. Billing is done in 15-minute increments. Overtime for the styling assistant is charged at EUR 30.00 net per hour (billed in 15-minute increments).
Break Regulations: If the agreed or statutory breaks (e.g., 60 minutes lunch or catering break) are not available or are shortened on the shooting day due to delays, time lags on set, or client decisions, the missed break time will be billed as overtime in accordance with paragraph 3.
Subsequent Increase in Looks: The agreed fee is based on the number of looks per model specified in the offer. If the client decides on set or at short notice beforehand to increase the number of looks per model, this creates additional work for sourcing, preparation, fitting, steaming, and post-production. An additional flat rate of EUR 198.00 net per outfit will be charged for this.
Unforeseen Fitting Days: If a fitting day becomes necessary that was not included in the original offer, it will be charged as follows: Half day (up to 4 hours): EUR 520.00 net / Full day (up to 8 hours): EUR 920.00 net.
Assistance: The Stylist is entitled, at her own discretion (especially when supervising 3 or more models), to bring in a styling assistant. The costs are EUR 50.00 net for a half day or EUR 100.00 net for a full day, unless otherwise agreed in the offer.

3. Travel Expenses, Transport & Catering
Travel Costs & Transport Flat Rate: If the Stylist brings styling materials or equipment to the set with her own car or changes sets on the shooting day, a transport flat rate of EUR 65.00 net per day will be charged. All incidental costs incurred in the context of fulfilling the order (e.g., parking fees, tolls) shall be borne by the client.
Travel Days: Arrival and departure on the day before or after the shoot will be billed as working time: Half Travel Day (up to 4 hours): EUR 230.00 net / Full Travel Day (up to 8 hours): EUR 460.00 net. If using a personal car for long-distance travel, an additional EUR 0.42 net per kilometer will be charged.
Shipping and Courier Costs: All freight, shipping, postage, and return shipping costs for styling items, inventory goods, or orders are fully at the expense of the client.
Catering: During the preparation, shooting, and fitting days, the client is obliged to provide adequate catering (coffee, snacks, warm lunch or dinner) for the Stylist and her assistant on set. If no catering is provided, the actual catering costs reasonably incurred will be billed to the client.

4. Damage, Loss & Cleaning of Styling Goods
Material Damage & Obligation to Purchase: If styling items (property of the Stylist, inventory goods, borrowed items, samples, or clothing/accessories bought on approval) are damaged, soiled (e.g., make-up or deodorant stains, tears), stolen, or returned damaged during preparation, fittings, filming, or on set, so that a store return policy expires or the item becomes unsellable, the Stylist will invoice the client for the full replacement value or the retail price (full price) plus any expenses incurred.
Cleaning Costs: If a cleaning of styling pieces from the inventory or orders is required after the shoot due to soiling, sweat, outdoor use, etc., the invoice amounts of the professional dry cleaning shall be borne fully by the client.

5. Cancellation & Default (Cancellation Policy)
If a placed order is canceled, postponed, or called off by the client, the following cancellation fees (as a percentage of the agreed total fee) become due:
Cancellation from order placement up to 7 days before the start of the shoot: 30% of the agreed fee
Cancellation from 7 days up to 48 hours before the start of the shoot: 50% of the agreed fee
Cancellation less than 48 hours before the start of the shoot / No-show: 100% of the agreed fee.
Regardless of the time of cancellation, all preparation services already provided up to the time of cancellation (e.g., pre-pull, mood board creation, sourcing), booked travel or fitting days, expenses, cancellation fees of third parties, as well as shipping and transport costs must be fully reimbursed (100%) by the client.

6. Illness / Substitution Should the Stylist be absent on the shooting day due to illness or unforeseeable force majeure, she is entitled to provide a qualified styling assistant or substitute who will carry out the styling on site according to the Stylist's specifications. In this case, the Stylist retains her full entitlement to the fee. The client will not incur any additional personnel costs through the provision of this substitute.

7. Copyright, Credits & Attribution
Copyright Protection & Ghost Styling Ban: The styling created by the Stylist (look creation, visuals) enjoys copyright protection or protection as intellectual property. Under no circumstances may the work of the Stylist be presented as the work of third parties (waiver of attribution / explicit prohibition of ghost styling).
Credits / Author Designation: For every publication, reproduction, or distribution of the image/video material (in print media, social media, TV, online, magazines, etc.) where naming the creator or contributors is customary in the industry, the Stylist must be named.
Rights of Use: Unless otherwise agreed, the client receives the simple right to use the styling for the agreed advertising purpose upon full payment of the remuneration.

8. Applicable Law & Jurisdiction Austrian law shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods. The court with subject-matter jurisdiction for Vienna is agreed upon as the place of jurisdiction for all disputes arising from or in connection with this contractual relationship.
